Terms of Service

These Terms of Service ("Terms") govern your access to and use of Novato, a product of Nadar & Co.(ACN 671116091, ABN 36671116091), registered at 195 Miller, North Sydney NSW 2060, Australia ("Novato", "we", "us"). By creating an account or using Novato, you agree to these Terms.

1. Who these Terms apply to

A "Customer" is a business or individual who signs up for a Novato plan to manage compliance for their projects. A "Worker"is a subcontractor or tradie invited by a Customer, who creates their own account and agrees to these Terms to upload and manage their own compliance documents. References to "you" apply to whichever role you hold.

2. The service

Novato helps Customers track, request, and automatically verify subcontractor compliance documents (such as licences, insurance certificates, and induction cards) and monitor their expiry. Document verification uses a combination of automated checks and AI-assisted review.

Novato is a tracking and verification tool, not a guarantee of compliance. Customers remain solely responsible for meeting their own legal, work health and safety, and licensing obligations, and for making their own judgement about whether a worker is fit to be on site. Automated verification reduces manual effort but can make mistakes — Customers should not rely on it as their only compliance check for high-risk decisions.

3. Accounts

• You must provide accurate information when creating an account and keep it up to date.
• You are responsible for activity that occurs under your account and for keeping your login credentials secure.
• Customers are responsible for the accuracy of information they provide about their business, and for the conduct of team members they add to their account.

4. Subscriptions and billing

• Paid plans are billed in advance on a recurring monthly or annual basis, as selected at signup, and processed securely through Stripe.
• Plans include usage limits (such as active projects, workers per project, and AI verifications per month) as described on our pricing page at the time of purchase.
• Subscriptions automatically renew until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• Except where required by the Australian Consumer Law, fees already paid are non-refundable.
• We may change our pricing with reasonable notice before it applies to your next billing cycle.

5. Acceptable use

You agree not to:

• Upload documents you know to be fraudulent, forged, or belonging to someone else without authorisation.
• Use Novato to store or process information unrelated to subcontractor compliance verification.
• Attempt to interfere with, reverse engineer, or gain unauthorised access to the platform or other users' data.
• Use the service in a way that breaches any applicable law, including privacy and anti-discrimination law.

6. Content you upload

You retain ownership of documents and information you upload to Novato. You grant us a licence to store, process, and display that content solely for the purpose of operating the service for you and the Customer you're associated with. You are responsible for ensuring you have the right to upload any document you provide.

7. Our intellectual property

The Novato platform, including its software, design, and branding, is owned by Nadar & Co. Nothing in these Terms transfers any of that intellectual property to you.

8. Termination

You may stop using Novato and close your account at any time. We may suspend or terminate accounts that breach these Terms, or where reasonably necessary to protect the security or integrity of the platform. Where practical, we'll give notice before doing so.

9. Disclaimers and liability

Novato is provided on an "as is" basis. To the maximum extent permitted by law, we exclude all warranties other than those that cannot be excluded under the Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot lawfully be excluded.

To the maximum extent permitted by law, our total liability arising out of or in connection with these Terms or your use of Novato is limited to the amount you paid us for the service in the 12 months preceding the claim. We are not liable for indirect, consequential, or special loss, including loss arising from a worker being permitted on site based on information verified through the platform.

10. Changes to these Terms

We may update these Terms from time to time. We'll notify account holders of material changes by email or in-app notice before they take effect.

11. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms or your use of Novato.
